Pixel Purge Day — Brand License Agreement

1. Grant of License

BoxxSoftware Inc. ("Licensor") grants the approved partner or affiliate ("Licensee") a non-exclusive, non-transferable, revocable license to use the Pixel Purge Day name, logos, badges, taglines, and associated creative assets ("Brand Assets") solely for the purpose of promoting the Pixel Purge Day event on April 1 and/or October 1 of the current calendar year.

2. Permitted Uses

• Publishing event announcements, social media posts, email newsletters, and digital advertising that reference Pixel Purge Day
• Displaying the official Pixel Purge Day badge or logo alongside your own product branding on your website, app, or marketing materials
• Sharing Pixel Purge Day creative assets provided in the official media kit with your own audience
• Co-branding your own promotional materials as a "Pixel Purge Day Partner" using templates provided in the approved kit

3. Prohibited Uses

• Modifying, distorting, or altering Brand Assets in any way not explicitly approved in the brand guidelines
• Using Brand Assets to imply that you are an official organizer or owner of the Pixel Purge Day event
• Sub-licensing the Brand Assets to third parties without written approval
• Using Brand Assets after the license period has ended or after your partnership agreement has been terminated
• Using Brand Assets in connection with any product, service, or content that promotes illegal activity or is inconsistent with the event's values

4. Attribution

All uses of Brand Assets must include a visible attribution: "Pixel Purge Day is a BoxxSoftware initiative powered by PictureNamer." The exact placement and formatting may be adjusted for context but the attribution must be present.

5. Quality Standards

Licensee agrees to maintain quality standards consistent with the Brand Assets as provided. Licensor reserves the right to request removal of any use that, in its sole judgment, reflects poorly on the event or its sponsors.

6. Term and Termination

This license is valid for the current calendar year's event dates (April 1 and/or October 1). It renews automatically upon payment of the following year's partnership fee. Licensor may terminate this license immediately for any breach of these terms.

7. No Warranty

Brand Assets are provided "as is." Licensor makes no warranties regarding the fitness of Brand Assets for any particular purpose.

8. Governing Law

This agreement is governed by the laws of the applicable jurisdiction of BoxxSoftware Inc. Any disputes shall be resolved through binding arbitration.
